Terms of Service
Please read these terms carefully before using Refractr AI.
Effective date: 4 May 2026
1. Acceptance of Terms
These Terms of Service are between you and Alwan Technologies Ltd (trading as Refractr AI), Company No. 16764007, registered in England and Wales. Registered office: 128 City Road, London, EC1V 2NX. Contact: support@refractrai.com.
These Terms of Service ("Terms") govern your access to and use of Refractr (the "Service"), operated by Alwan Technologies Ltd trading as Refractr AI ("we", "us", or "our"). By creating an account, accessing the Service, or using any feature of the platform, you agree to be bound by these Terms.
If you are using the Service on behalf of a business or organisation, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Refractr is an AI-assisted e-commerce growth platform. The Service includes tools for discovering and saving competitor advertisements (the Ad Library), creating product records, generating Shopify store pages and landing funnels, producing AI-powered ad copy and imagery, and — when you choose to connect your own advertising account — managing campaigns through Meta Ads Manager.
Competitor ad discovery in the Ad Library is provided within the Service and does not require you to connect a Meta (Facebook) account. Connecting Meta is optional and is used only for Ads Manager features (for example OAuth, campaign configuration, publishing, and reading delivery or performance data via the Meta Marketing API when you initiate those actions).
The Service may be updated, extended, or partially discontinued at any time. We reserve the right to add, modify, or remove features without notice, though we will endeavour to communicate material changes.
3. Account Registration
You must create an account to use the Service. You agree to provide accurate, complete information when registering and to keep your credentials secure. You are responsible for all activity that occurs under your account.
You must not share your account credentials with others or allow multiple users to access the Service under a single account unless explicitly permitted by your subscription plan. Account sharing may result in suspension or termination.
You must be at least 18 years old to use the Service.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following are prohibited:
- Scraping, crawling, or systematically extracting data from the Service or its underlying APIs beyond what is provided through normal use.
- Attempting to bypass rate limits, credit limits, usage caps, access controls, or authentication mechanisms.
- Reverse engineering, decompiling, or disassembling any part of the Service.
- Using the Service to generate, distribute, or publish spam, fraudulent content, deceptive advertising, or content that violates any applicable law.
- Using the Service to create content that infringes third-party intellectual property rights, including trademarks, copyrights, and trade secrets.
- Using the Service in a way that violates the policies of Meta, Shopify, or any other third-party platform you connect to through the Service.
- Attempting to gain unauthorised access to other users' accounts or data.
- Using the Service to process or distribute illegal content, including content that is defamatory, obscene, or incites violence or discrimination.
- Misusing third-party API integrations, including exceeding permitted usage, violating provider terms of service, or using credentials that do not belong to you.
- Reselling, sublicensing, or providing access to the Service to third parties without our written consent.
5. AI-Generated Content
The Service uses artificial intelligence to generate text, images, strategies, ad copy, product descriptions, and other content. You acknowledge and agree that:
AI-generated content may be inaccurate, incomplete, misleading, or inappropriate. It may contain factual errors, off-brand language, legally problematic claims, or content unsuitable for your intended audience or jurisdiction.
You are solely responsible for reviewing, editing, and approving all AI-generated content before using it in any advertisement, publication, or campaign. We make no warranty that AI-generated content is accurate, suitable for its intended purpose, compliant with advertising laws, or free of third-party intellectual property claims.
AI-generated market research, audience insights, performance predictions, and recommendations are informational only and may not reflect actual market conditions or outcomes. They must not be relied upon as professional marketing, legal, financial, or business advice.
Performance of ad campaigns, funnels, and creatives generated or configured using the Service will vary and cannot be predicted or guaranteed by us.
6. Third-Party Integrations
The Service integrates with third-party platforms when you connect them. Shopify is used when you connect a store for storefront and content features. Meta is used only when you connect Meta Ads Manager: we obtain OAuth authorisation, store connection metadata and encrypted tokens, and call the Meta Marketing API to perform actions you request (such as listing linked ad accounts, creating or editing campaigns, ad sets, or ads, uploading creative assets, and reading delivery or insights data needed to show status in the Service).
Use of the Ad Library (searching, viewing, and saving third-party ads shown in the product) does not rely on your Meta login and is not the same as connecting Meta Ads Manager. If you do connect Meta, you must comply with Meta's Platform Terms, Developer Policies, Advertising Standards, and any other applicable Meta rules.
You are solely responsible for ensuring that your use of the Service complies with the terms of service, advertising policies, community standards, and applicable laws of all third-party platforms you connect to, including Meta's policies (when Meta is connected) and Shopify's Acceptable Use Policy.
We are not responsible for actions taken by third-party platforms including account suspension, ad disapproval, policy violations attributed to content you publish, or changes to third-party APIs that affect the Service.
The Service may also rely on third-party providers for AI processing, hosting, payment processing, analytics, and other functions. These providers operate under their own terms and privacy policies.
7. Credits, subscriptions, billing, free trial, cancellation, and refunds
Subscription and payment processing are provided by our payment partner (Stripe). Plan prices, currency, billing interval, and any trial length are shown at checkout before you pay. By completing checkout you authorise us (via Stripe) to charge your payment method according to the plan you selected.
Where a free trial is offered for your plan, its length and whether a payment method is required up front are shown at checkout (for example, a five-day trial with card details collected but no charge until the trial ends). You may cancel before the trial ends to avoid being charged for the first paid period. If you do not cancel in time, the subscription becomes paid and the first subscription charge is taken as shown at checkout.
You may cancel your subscription at any time using the billing or subscription management options in the Service (including the Stripe Customer Billing Portal where we link to it, for example from Settings → Billing). Cancellation stops future renewals; you typically keep access to paid features until the end of the period you have already paid for, unless we state otherwise in the product. We do not guarantee pause, downgrade, or plan-switch paths unless we offer them in the product at the time.
Subscription fees already charged for a completed billing period are generally non-refundable, except where applicable law requires a refund or right of withdrawal and you validly exercise that right within any legal time limit, or where we agree in writing to a good-faith exception (for example a demonstrable billing error). If you think a charge is wrong, contact support@refractrai.com before initiating a chargeback so we can review your account; chargebacks can delay resolution and may affect account access while investigated.
Access to certain AI-powered features requires spending credits. Credits are included with your subscription tier or may be sold as top-ups where we offer them. Purchased or granted credits have no cash value, are not transferable, and are non-refundable except where required by applicable law. Credits are deducted when you initiate a chargeable workflow; if a workflow fails after credits were deducted, we may restore credits to your balance according to rules we publish or communicate for that feature.
Failure to pay (including failed renewal charges) may result in suspension or downgrade of access to paid features until payment succeeds. We may change plan prices or credit allowances with reasonable notice; continued use after the effective date of a change may constitute acceptance. Nothing in this section limits mandatory consumer rights in your country of residence where they cannot lawfully be excluded.
8. Intellectual Property
The Service, including its software, design, trademarks, and branding, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.
Content you create using the Service — including products, campaigns, creatives, and funnels — remains yours, subject to the licences required to operate the Service (see Privacy Policy). You represent that content you upload or produce using the Service does not infringe third-party rights.
AI-generated outputs may resemble existing content. You are responsible for ensuring that content generated through the Service does not infringe any third-party intellectual property rights before publishing or distributing it.
9. User Responsibilities and Compliance
You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations, including but not limited to:
- Advertising laws and regulations in the jurisdictions where your ads are shown, including rules on truthfulness, substantiation of claims, endorsements, and disclosures.
- Consumer protection laws applicable to your products and marketing.
- Data protection and privacy laws applicable to the personal data of your customers and audiences.
- Intellectual property laws governing the content you publish, including images, copy, and trademarks.
- Platform-specific policies of Meta, Shopify, and any other platform you use in connection with the Service.
10. Suspension and Termination
We may suspend or terminate your account at our discretion if we reasonably believe you have violated these Terms, engaged in abusive or fraudulent behaviour, or posed a risk to the Service, other users, or third parties.
You may terminate your account at any time from the account area in the Service (including permanent account deletion where offered) or by following the process on our Data deletion page (/company/data-deletion). You may also contact support@refractrai.com. Upon termination or deletion, your access to the Service ceases. How we delete or retain personal data is described in our Privacy Policy, our Data deletion page, and (where relevant) billing and legal retention rules. Credits are not refunded on termination except where required by law.
11. Disclaimers and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED OR ERROR-FREE OPERATION.
WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE AVAILABLE AT ALL TIMES OR FREE OF ERRORS; (B) AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PURPOSE; (C) YOUR AD CAMPAIGNS WILL ACHIEVE ANY PARTICULAR PERFORMANCE, RESULTS, OR RETURN ON INVESTMENT; (D) THE SERVICE WILL REMAIN COMPATIBLE WITH THIRD-PARTY PLATFORMS.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM OR (B) £100. WE EXCLUDE LIABILITY FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction require otherwise.
13. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice in the Service. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
